1. Definitions

The Contractor - Joint Stock Company "RU-CENTER".

Partner of the Contractor (Partner) - an individual person or legal entity that has signed a Multiple Services Contract.

Customer - an individual or legal entity that orders the service of domain name registration or renewal, change of Registrar, or Change of Registrant, and, to that end, enters into a Multiple Services Contract with the Contractor.

Order - a request from the Customer to the Contractor, in a form determined by the Contractor, that contains all the data required for domain name registration or renewal, change of Registrar, .

Customer's Contract Account - the set of data on the Customer's payments to the Contractor as well as the services the Contractor has provided to the Customer. Any payment made by the Customer is credited to their Contract Account after the money has been credited to the Contractor's bank account, on condition that the Contractor has received from the bank a document identifying the payment.

Electronic payment system (e-payment system) is a system represented by software and hardware infrastructure, to settle financial transactions between the Customer and the Contractor via Internet.

Terminology not defined in this Schedule is defined in the gTLD and foreign ссTLD Registration Agreement.

2. General Terms and Conditions

2.1. This Schedule sets out the conditions for providing the services of registration, renewal, change of Registrar, and change of Registrant of domain names in the gTLDs and foreign ссTLDs.

2.2. The Contractor is a Registrar accredited by ICANN and other authorized entities, including ccTLD Registrant to provide second-level domain names registration services in the gTLDs and foreign ссTLDs. The Contractor performs registration of domain names

- in the NET and COM domains under an agreement between Registrar and VeriSign Inc, which is the Operator of the NET and COM registries,
- in the ORG domain under an agreement between Registrar and Public Interest Registry, which is the Operator of the ORG registry,
- in the BIZ domain under an agreement between Registrar and Neulevel, Inc, which is the Operator of the BIZ registry,
- in the INFO domain under an agreement between Registrar and Afilias Limited, which is the Operator of the INFO registry,
- in CC, TV domains under an agreement between Registrar and VeriSign Inc., which is the Operator of the CC and TV registries,
- in ME domain under an agreement between Registrar and doMEn, d.o.o. which is ME ccTLD Administrator,
- in MOBI domain under an agreement between the Contractor and mTLD Top Level Domain Limited is MOBI TLD Administrator,
- in TEL domain under an agreement between Registrar and Telnic Limited, which is TEL TLD Administrator.
- in NAME domain under an agreement between Registrar and VeriSign Inc., which is NAME TLD Administrator.
- in TRAVEL domain under the Agreement between RU-CENTER and Tralliance Co., which is TRAVEL TLD Administrator.
- in AERO domain under the Agreement between RU-CENTER and SITA Co., which is AERO TLD Administrator.
- in HN, AG, BZ, LC, MN, SC, VC domains under the Agreement between RU-CENTER and Afilias Limited, which is HN, AG, BZ, LC, MN, SC and VC TLD Administrator.
- in PRO TLD under the Agreement between RU-CENTER and Registry Services Corporation dba RegistryPro, which is PRO TLD Sponsor.
- in ХХХ TLD based on the Agreement entered into by and between RU-CENTER and ICM Registry LLC - XXX TLD Sponosor.

2.3. The Contractor provides the Customer with the services of registration, renewal, change of Registrar, and change of Registrant of second-level domain names in the gTLDs and foreign ссTLDs. The conclusion of the Multiple Services Contract is preceded by the Customer's registration on the Contractor's database. The Customer is responsible for selecting and registering individual administrative and technical passwords at the registration on the Contractor's database, for preserving their confidentiality, and for all actions that take place as a result of using the passwords.

2.4. The Customer will familiarize the Registrant with the gTLD and foreign ссTLD Registration Agreement and the procedure for its modification. The document is published on the Contractor's web site at https://www.nic.ru/dns/contract/en/net_com_reg_agr.html. The ordering of services confirms the Registrant's agreement with the gTLD and foreign ссTLD Registration Agreement and the modification procedure.

2.5. All information provided by the Customer at the registration on the Contractor's database and conclusion of the Multiple Services Contract must be factual. If the Customer provides false information, the registration of the domain name may be cancelled.

2.6. The Customer agrees that the information the Customer provides by filling in forms and other documents, including those in an electronic form, in sections of these documents marked as "open", will be placed by the Contractor on search engines and will be open to the public. A list of the information that will be made public and information that may be made public with the Customer's consent can be found on the Contractor's web site.

2.7. The ordering of a service indicates the Customer's agreement to pay for the service at the prices current on the day the processing of the Order begins.

2.8. A service is provided to the Customer based on the Contract, so long as there is an Order for the service and all the relevant requirements of this Schedule are met.

2.9. The service of registration of a domain name is considered provided after the information about the domain name has been entered into the Registry.

2.10. The service of renewal of a domain name is considered provided after the information about the renewal has been entered into the Contractor's database and the Registry. The registration will be renewed for the period specified by the Customer, which must be a multiple of one calendar year, starting on the date the registration was previously set to end, the total period of registration may not exceed ten (10) years. If a Customer uses the "automatic renewal" function, the registration will be renewed for one (1) year since the last expiry date.

2.11. The service of change of Registrar (transfer of the domain name sponsorship to the Contractor) is considered provided after the information about the domain name's Registrar in the Registry is changed to "JSC Regional Network Information Center dba RU-CENTER".

2.12. The service of change of Registrant is considered provided after the Registrant field in the domain name information on the Contractor's database is modified.

2.13. The Contractor shall inform the Customer on the fact of rendering the service by an e-mail sent to the Customer address. If the motivated Customer's objections set forth in simple language in writing and sent by mail service failed to reach the Contractor's address within 5 (five) calendar days from the date of the abovementioned Contractor's e-mail, the service rendered to the Customer by the Contractor is considered to be accepted by the Customer.

2.14. The Customer must comply with the requirements of the "Terms of Use" document, published on the Contractor's web site at https://www.nic.ru/about/servpol.html. The Customer agrees that the Customer may be affected by any actions taken by the Contractor to prevent the negative effects of third party activity that impairs the operation of the Contractor's system of service provision. In doing so, the Contractor will adhere to the provisions of the "Terms of Use" document and will minimize such negative effects on the Customer.

3. Processing Orders for Domain Name Registration, Change of Registrar, and Change of Registrant

3.1. The Customer can place Orders for services

- using the Contractor's web interface. Forms for placing Orders are provided on the Contractor's web server www.nic.ru;
- by e-mail. E-mail order forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Interaction with RU-CENTER Service Provisioning System";
- using http requests. Request forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Interaction with RU-CENTER Service Provisioning System".

The exception is order generation for .TV premium domain registration, to be made via official letter from the Registrant to the Contractor, provided the Customer has on its account available funds to pay for .TV premium domain registration. The form of letter is given on the Contractor's web-server.

3.2. The Customer can cancel an Order on the Contractor's web site in the "Manage your account" section ("Orders: Processing queue, order removal" link) before the processing of the Order begins. The exception is order generation for .TV premium domain registration, to be made via official letter from the Registrant to the Contractor, provided the Customer has on its account available funds to pay for .TV premium domain registration. The form of letter is given on the Contractor's web-server.

3.3. An Order is considered ready for processing and will be processed if the Customer has signed Multiple Services Contract with the Contractor and in their Contract Account sufficient funds to pay for all services contained in the Order. If this condition is not met within three (3) months from the day the Contractor receives the Order, the Order will be cancelled.

3.4. The Contractor will process Orders for the same service (all ready for processing) from different Customers on a first-come basis.

3.5. The Contractor will fulfil Orders on a first-come basis. The sequence in which Orders are fulfilled can be changed on the Contractor's web site in the "Manage your account" section ("Orders", "Processing queue, order removal" link).

3.6. Orders for renewal of any services that require immediate freezing (reservation) of funds in the Contract Account for the renewal have a higher processing priority than Orders for new services and Orders for change of Registrar and/or Registrant from the same Customer.

4. Domain Name Renewal

4.1. The domain name renewal can be made with:

a) the Order for renewal of a domain name submitted by the Customer to the Contractor or
b) «automatic renewal» function.

4.2. The Customer can place an Order for renewal of a domain name at any time before the domain name registration expires for any period that is a multiple of one (1) year; the total period of registration may not exceed ten (10) years.

4.3. If a Customer uses the "automatic renewal" function, the Contractor proceeds with the renewal request thirty (30) calendar days before the expiry date. The domain registration will be renewed for one year. To use the "automatic renewal" function a Customer has to fill a form in the "Manage your account" section on the Contractor's web-site or to send an http request or e-mail request to the Contractor. The forms of all the requests can be found in the "Manage your account" section on the Contractor's web-site.

4.4. A Customer can cancel the "automatic renewal" not later than thirty (30) calendar days before the domain's expiry date.

4.5. If the Customer does not place an Order for renewal of a domain name, the Contractor will give the Customer notice of the need to renew the domain name via the standard communication channels two (2) months prior to the expiry of the registration period.

4.6. The Contractor will renew a domain name if the Customer has submitted to the Contractor the Order for the registration renewal or if a Customer uses the "automatic renewal" function and the funds in the Customer's Contract Account are sufficient to pay for the service.

4.7. Placing an Order for renewal with the Contractor or use of the "automatic renewal" function indicates the Customer's agreement to the provision of the renewal service and to the Customer's Contract Account being debited for the renewal. The Customer's Contract Account will be debited in accordance with par.5 of this Schedule.

4.8. If the domain name has not been renewed by the Customer in the time frame defined by this Schedule, both the Customer and the domain name Registrant agree that the domain name Registrant can lose the rights for the domain and the Contractor has the right to initiate the cancellation process for such domain in the Registry or to transfer the rights for the domain to the Contractor or another party according to the rules defined by the Contractor.

4.9. A domain name, for which the Contractor has initiated the cancellation process in the Registry, can be redeemed (exept for i. 4.9.4.) upon the Customer request providing that the below conditions are met:

4.9.1. A domain name redeeming with concurrent 1 year renewal is made upon the formal letter from the Customer to the Contractor, providing that the Contractor receives the letter within twenty five (25) calendar days after the cancellation process for the domain name was initiated in the Registry and there's sufficient money in the Customer's Contract Account to pay for the service of a domain name redeeming and the service of a domain name renewal for one (1) year. The letter form is provided on the Contractor's web site.

4.9.2. Upon the receipt of formal letter from the Customer and providing that there's sufficient money in the Customer's Contract Account to pay for the service of a domain name redeeming and the service of a domain name renewal for one (1) year, the Contractor takes the necessary steps for the domain name redeeming and renewal within two (2) business days and notifies the Customer.

4.9.3. The Contractor will work for domain redeeming providing that the Customer adhere to the rules described above. If the domain can not be redeemed the sum paid by the Customer for domain name redeeming service will be returned to the Customer account.

4.9.4. A domain name in HN, NAME or PRO TLDs, for which the Contractor has initiated the cancellation process in the Registry, cannot be redeemed.

5. Payment for Services. Debit for Services from the Customer's Contract Account

5.1. The costs of services are set out in Addendum 2 to the Multiple Services Contract.

5.2. In order for the Contractor to generate an invoice, the Contractor must receive the Customer's request for the invoice. Invoices are requested via the Contractor's web site in the "Manage your account" section. The original of the invoice will be sent to the Customer by post:

- if the Customer is an organization or a registered entrepreneur - not later than three (3) working days after the Contractor receives the Customer's request for the invoice;
- if the Customer is an individual - at the Customer's request.

The Customer can print copies of invoices from the "Manage your account" section of the Contractor's web site.

5.3. When making a payment, the Customer must indicate the number of their Contract with the Contractor on the payment documents.

5.4. Debit for services from the Customer's Contract Account

5.4.1. The Contractor keeps track of the Customer's payments and the services provided to the Customer, based on the current rates for services, using the Customer's Contract Account. Any payment made by the Customer is credited to their Contract Account after the money has been credited to the Contractor's bank account, on condition that the Contractor has received from the bank a document identifying the payment.

The Customer can access the information of their Contract Account on the Contractor's web site in the "Manage your account" section ("Contract", "Account balance" link).

5.4.2. Before the Contractor provides a service to the Customer, funds are frozen (reserved) in the Customer's Contract Account to pay for the service. Frozen funds cannot be used to pay for other services.

5.4.3. Reservation of funds in the Customer's Contract Account

5.4.3.1. Funds for the services of domain name registration, renewal, change of Registrar, and change of Registrant are frozen in the sequence in which the Contractor receives corresponding Orders.

5.4.3.2. When the Customer places several Orders for domain name renewal, renewal funds will be frozen in the sequence in which the registration of the respective domain names expires (funds for renewal of a domain name whose registration expires first are frozen first), unless if otherwise specified by the Customer using e-payment systems. In this case the service renewal procedure will be established by the Customer as scheduled by the e-payment systems.

5.4.4. Payment for renewal of a domain name is debited from the Customer's Contract Account no earlier than at 24:00 on the day the Order for the renewal is received.

5.5. The unused balance of the Customer's Contract Account will be refunded, by bank transfer to the Customer's bank account at any bank resident in the Russian Federation, on termination of the Contract or in the event the Customer provides reasons for their inability to use the Contractor's services. The Contractor will take steps to complete the refund within 10 (ten) working days from the day the Customer submits a written request for the refund with the full bank details of the recipient.

5.6. There will be no refund of the fee for any unexpired period of a cancelled domain name registration.

5.7. Customer's obligations for services payment will be deemed unexecuted, if he (she) made a refund upon the request of the payment system by which the Customer paid for the service. In this case the Contractor is entitled to suspend the service for the Customer since the moment of refund, and use the domain name at its own discretion.

6. Change of Domain Name Information

Domain name information - information about a domain name that is entered into the Registry at the domain name registration (details of the Registrant, administrative, technical and billing contacts, and the DNS servers).

6.1. Domain name information can only be modified after the Order for registration of the domain name has been successfully completed.

6.2. Details of contacts and DNS servers can be modified

- using the Contractor's web interface. Modification procedure:

- log into the section "Manage your account";
- select "Review and update data" in the "Services" menu;
- find the service;
- choose the necessary link on the column "Modify parameters";
- make necessary changes;
- save the changes.

- by e-mail. E-mail message forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Communication with RU-CENTER service system".
- using http requests. Request forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Communication with RU-CENTER service system".

Any changes of contacts and DNS servers in the Contractor's database and in the Registry will come into effect within one (1) hour from the moment they are made.

Limitations.
DNS list changing for .TEL domains is prohibited by TEL TLD Administrator because of technical TEL specific.

6.3. Details of the Registrant of a domain name can be modified by making appropriate changes in the Contractor's database:

contact details - in the Registrant object,
identification details - in the Registrant's form.

6.3.1. Modification of the Registrant's contact details in the Registrant object

The Registrant's contact details include: telephone number, fax number, e-mail addresses, and postal address. Changes can be made

- using the Contractor's web interface.

Modification procedure:

- log into the section "Manage your account";
- find the Registrant object in the "Whois Contacts" menu;
- click on "Modify" in the column "Information about object";
- make necessary changes;
- save the changes.

- by e-mail. E-mail message forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Communication with RU-CENTER service system".

- using http requests. Request forms are provided on the Contractor's web site in the section "Manage your account" - "For Partners" - "Communication with RU-CENTER service system".

Any changes of the Registrant's contact details will come into effect within one (1) hour from the moment they are made.

6.3.2. Modification of the Customer's identification details in the Registrant's form

The Registrant's identification details include: organization name, legal address, taxpayer identification number, first, middle and last names, passport details, and date of birth. The Registrant can modify identification details by sending a formal letter to the Contractor. The letter form is provided on the Contractor's web site.

The Registrant's identification details in the Contract will be changed within two (2) working days from the moment the Contractor receives the Registrant's letter.

7. Procedure for Change of Domain Name Registrant

7.1. On the basis of notification (letter) from the Registrant of a domain name to the Contractor, the rights to the domain name can be transferred to another legal entity or individual, as long as the notification (letter) meets rules and requirements published at the Contractor web-site and there is an Order for the service of change of Registrant and sufficient money in the Customer's Contract Account to pay for the service. The notification (letter) form is provided on the Contractor's web site.

7.2. When the Contractor receives a notification (letter) from the Registrant of a domain name requesting transfer of the domain name to another person, as well as a confirmation in the form set by the Contractor from that person confirming their intention to become the domain name Registrant, the Contractor will, within two (2) working days, take the necessary steps for the domain name transfer and notify the previous and new Registrants of this, as long as the service has been paid. At the Contractor's discretion this term could be extended till 30 calendar days.

7.3. The Contractor has the right to nullify the domain name owner change providing that the Contractor has sufficient cause for it.

7.4. Domain name expiration date is not changed as a result of Change of Domain Name Registrant.

7.5. Change of Domain Name Registrant cannot be performed if the domain name renewal is not paid within 30 (thirty) calendar days after the domain name expiration date.

8. Procedure for Change of Registrar

8.1. The conditions for transfer of domain name from or to another Registrar are set out in par. 8.3 of the gTLD and foreign ссTLD Registration Agreement.

8.2. Transfer of domain name sponsorship to the Contractor from another Registrar

8.2.1. Transfer of domain name sponsorship to the Contractor is performed on the basis of an Order for the service of change of Registrar, so long as there is sufficient money in the Customer's Contract Account to pay for the service. Forms for placing Orders are provided on the Contractor's web site at www.nic.ru.

Change of the domain name's Registrant performed simultaneously with the domain name transfer is done by sending a formal letter from the Registrant to the Contractor. The letter form is provided on the Contractor's web site.

8.2.2. The Contractor does not guarantee the success of any change of Registrar. If the service of change of Registrar is not provided for any reason, the funds reserved in the Customer's Contract Account to pay for the service will be unfrozen.

8.2.3. After processing of the Order begins, the Contractor will request confirmation of the domain name transfer from the Registrant indicated in the current Registrar's whois data. The request will be sent to the Registrant's contact e-mail addresses specified in the domain name's whois data.

If the Contractor receives the Registrant's agreement to the domain name transfer, the Contractor will initiate the change of the Registrar in the Registry.

In the event of the Registrant's refusal to the domain name transfer or absence of response within five (5) days, the Order will be cancelled. The Contractor will give the Customer notice of cancellation (due to the inability to fulfil the Order) within two (2) working days from the cancellation date.

8.2.4. When the Registry receives the Contractor's request for change of Registrar, the Registry will send a request to the current Registrar of the domain name. Based on the current Registrar's response, the Registry will make its decision and inform the Contractor about it. The process of change of Registrar in the Registry may last for up to seven (7) calendar days.

If the Registry makes a positive decision, the Contractor will, as a result of the change of Registrar, become the domain name's Registrar, the registration period will be extended by 1 calendar year from the date the registration was previously set to end; the total registration period may not exceed ten (10) years. When the domain name's registration expires, the Contractor will undertake its renewal in the Registry in accordance with par. 4 of this Schedule.

In the event of the Registry's refusal to change the Registrar, the Contractor will notify the Customer of the Registry's decision within two (2) working days from the moment the processing of the Order ends.

8.3. Transfer of domain name sponsorship from the Contractor to another Registrar

When the Contractor is notified by the Registry of the initiation of change of Registrar, the Contractor will send a request to the Registrant's contact e-mail address specified in the Contractor's database. The Registrant must respond to the Contractor's request for the domain name transfer within four (4) calendar days from the moment of the initiation of change of Registrar in the Registry.

In the event of the Registrant's refusal, the Contractor will give the Registry notice of refusal to transfer the domain name to the other Registrar.

Upon the Registrar's agreement, the Contractor will give the Registry notice of agreement to transfer the domain name to the other Registrar.

In the absence of the Registrant's response within the period set by the Contractor (four (4) calendar days), the Contractor will not respond to the Registry's request and, after five (5) calendar days from the day the Registry's request is sent to the Contractor, the Registry will transfer the domain name sponsorship to the other Registrar.

9. Procedure for Transfer to Another Partner of the Contractor

9.1. The Registrant of a domain name may transfer the duty to assist in the registration and renewal of the domain names:

- from the Contractor to the Contractor's Partner
- from one Partner to another Partner
- from the Contractor's Partner to the Contractor.

Such duties are transferred by a formal letter from the Registrant to the Contractor, or by the Registrant's request sent using the Contractor's web interface (the "Manage your account" section, "Transfer to partner" link).

9.2. When the Contractor receives a formal letter requesting transfer of registration duties, it will take the necessary steps for the transfer within two (2) working days.

When the Contractor receives a request for transfer of registration duties sent using the Contractor's web interface, the Contractor will take the necessary steps for the transfer within one hour after the request is received.

The Contractor will notify the Registrant and the Partner of the changes via the standard communication channel.
